Can an MTA include intellectual property terms?

Yes — MTAs typically address ownership of the original material and any derivatives the recipient creates, and may restrict patent filings based on results from the material. But this is scoped to the material itself, not the broader foreground-IP allocation an RCA covers for a joint project.

Does a Collaborative Research Agreement (CRA) replace the need for an MTA?

No. A CRA (the same instrument often called an RCA) is typically the umbrella agreement; MTAs and other single-purpose instruments are usually executed as subordinate documents underneath it for specific exchanges.

Is a CRADA the same as an RCA?

No. A CRADA is a specific U.S. federal-statutory instrument (15 U.S.C. § 3710a) required only when a federal laboratory is a party. A general RCA between non-federal institutions has no single statutory basis and is negotiated between the parties.

What happens if materials are exchanged with no MTA in place?

The providing institution has no enforceable restriction on use, redistribution, or downstream commercialization, and the recipient has no documented ownership position on anything derived from the material. Institutions generally require an executed MTA before any material leaves the lab for an external recipient.

Who at my institution executes these agreements?

This varies by institution, but MTAs are most commonly routed through the technology transfer office (since they touch IP and materials the institution may later seek to protect or commercialize), while RCAs are more often routed through the office of sponsored programs (since they touch funding, scope of work, and compliance). Many institutions require both offices to review an agreement that combines collaboration and material-transfer terms. Check your own institution’s process before initiating either.
